Terms of Service

These Terms of Service ("Terms") govern your use of Planofy, operated by Nightcity Innovations LLC("we," "us," or "our"). By creating an account or using Planofy, you agree to these Terms. If you do not agree, do not use the service.

1. What Planofy Does

Planofy is an estimating platform for residential contractors. You upload architectural plan documents (PDFs), and Planofy uses artificial intelligence to generate draft line-item construction estimates. You can then review and edit those estimates, send them to your clients for electronic signature, and manage your estimate pipeline. We provide software tools — we do not perform takeoffs, estimating, or construction services on your behalf.

2. AI-Generated Estimates Are Drafts, Not Guarantees

To the maximum extent permitted by law, Nightcity Innovations LLC is not liable for bid outcomes, lost bids, cost overruns, underbidding, pricing errors, omitted scope, or any business losses arising from inaccuracies in AI-generated estimates. The estimate you send to your client is your estimate, and the contract you form with your client is between you and your client.

3. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use Planofy. By using this service, you represent that you meet these requirements and that you are using Planofy for business purposes.

4. Your Account

• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate information when creating your account.
• You may not share your account with others or use another person's account.
• Notify us immediately if you suspect unauthorized access to your account.

5. Subscriptions and Billing

• Planofy offers a free trial (7 days or 3 estimates, whichever comes first, no card required) and paid subscription plans: Starter ($39/month or $390/year), Pro ($99/month or $990/year), and Business ($249/month or $2,490/year). Billing is processed through Stripe.
• Subscriptions renew automatically at the end of each billing period until you cancel. By subscribing, you authorize Stripe to charge your payment method on a recurring basis.
• You can cancel at any time through the Stripe billing portal (Settings → Billing). Cancelling stops auto-renewal; you retain access through the end of your current billing period.
• Subscription fees are non-refundable except where required by law.
• We reserve the right to change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.

6. Your Content

• You own the plan documents you upload and the estimate data you create in Planofy. We do not claim ownership of your plans, estimates, client data, or business information.
• You grant us a limited license to store, process, and transmit your content solely to provide the service — including sending uploaded plans and estimate data to our AI provider for processing, as described in our Privacy Policy.
• You represent that you have the right to upload the plan documents you submit (e.g., that doing so does not violate an architect's or designer's license terms).
• You must have a lawful basis to share your clients' personal information (such as names and email addresses) with Planofy.

7. Electronic Signatures

Planofy facilitates electronic signatures on estimates in compliance with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). Your clients sign through secure share links without creating an account.

Signers provide explicit consent before signing, and Planofy records a timestamped audit trail. You are responsible for verifying that e-signatures are valid and enforceable in your jurisdiction for your specific use case, and for any additional contract documents your project requires beyond a signed estimate.

8. Prohibited Uses

You may not use Planofy to:

• Upload documents you do not have the right to use
• Create or send estimates for illegal work or fraudulent purposes
• Impersonate another person or business
• Spam or harass clients with unwanted communications
• Attempt to circumvent trial limits, subscription limits, or access controls
• Probe, overload, or disrupt the service or its AI processing pipeline
• Reverse engineer or copy the Planofy platform

9. Service Availability

We strive to keep Planofy available and reliable, but we do not guarantee uninterrupted access. We may perform maintenance, push updates, or experience outages — including outages of the third-party AI services we depend on. We are not liable for losses resulting from service unavailability.

10. Disclaimer of Warranties

Planofyis provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that estimates generated by Planofy will be accurate, complete, or suitable for any particular project, that the service will be error-free, or that it will meet your specific business requirements.

11. Limitation of Liability

To the maximum extent permitted by law, Nightcity Innovations LLC is not liable for any indirect, incidental, special, or consequential damages arising from your use of Planofy, including but not limited to lost bids, cost overruns, disputes with your clients, loss of business, or loss of data. Our total liability to you for any claim shall not exceed the amount you paid to us in the 12 months prior to the claim.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate accounts that violate these Terms. Upon termination, your right to use Planofy ends, but these Terms otherwise survive termination.

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Florida, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of Planofy after that date constitutes acceptance of the updated Terms.
